These Terms of Service govern your use of HorseKeeper, operated by Upper Group LLC, located at Avenida do Contorno, 5823, Sala 1005, Funcionários, Belo Horizonte - MG, 30110-035, Brazil. Upper Group LLC operates under the trading name "HorseKeeper". By creating an account or using HorseKeeper, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

HorseKeeper is a self-service software-as-a-service (SaaS) application for horse and barn management. It helps barns, ranches, breeders, and training centers manage horse records, health tracking, breeding, competitions, billing, inventory, finances, and team access. All features are fully automated and accessible through the application; there are no human-driven or consulting services included.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use HorseKeeper. By using the Service you represent that you meet these requirements.

3. Accounts

• You must provide accurate registration information and keep it up to date.
• You are responsible for keeping your login credentials secure and for all activity under your account.
• You may invite team members and are responsible for the actions of users you grant access to.

4. Payments & Subscriptions

• HorseKeeper is offered on prepaid plans (for example, monthly, 3-month, and 12-month). Prices are shown at checkout in U.S. dollars.
• Our order process and payments are handled by Stripe (Stripe.com), which processes payments for all purchases.
• Unless you cancel, plans that renew will renew at the then-current price. You can cancel future renewals at any time to prevent further charges.
• Applicable taxes may be added at checkout depending on your location.

5. Intellectual Property

The HorseKeeper application, including its software, design, branding, and content, is owned by Upper Group LLC and protected by intellectual-property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your own barn management. You may not copy, resell, sublicense, or reverse-engineer the Service. The data you enter remains yours.

6. Acceptable Use

You agree not to use the Service for any unlawful purpose, to disrupt or attempt to breach the Service, or to upload content that infringes the rights of others.

7. Disclaimers

The Service is provided "as is" and "as available." HorseKeeper is a record-keeping and management tool and does not provide veterinary, medical, legal, tax, or financial advice. Always rely on a qualified professional for those decisions. We do not warrant that the Service will be uninterrupted or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, Upper Group LLC will not be liable for indirect, incidental, or consequential damages, or for lost profits, lost data, or animal-related losses. Our total liability for any claim is limited to the amount you paid for the Service in the 12 months before the claim.

9. Cancellation

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation stops future renewals; you keep access until the end of the period you already paid for. See our Refund Policy for refund terms.

11. Modifications to the Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date. Continued use of the Service after changes means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, where Upper Group LLC is established, without regard to conflict-of-law rules.
